These Terms of Use (“Terms”) govern your access to, and use of the websites and applications owned and operated by Sivive Enterprise Solutions Private Limited, a company incorporated in India (“Sivive,” “vivelogis,” “we,” or “us”), including:

vivelogis Application: www.vivelogis.com and its associated web and mobile platforms

By accessing or using any of these platforms, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Scope and Eligibility

These Terms apply to all visitors, users, and organizations accessing our platforms.
You are responsible for ensuring that your access is lawful under your local regulations, including verifying your legal age and eligibility.
Access is at your own initiative and risk.

2. Platform Overview

2.1 Sivive Website

The Sivive website provides information about our company, services, and offerings. It may include affiliated content, videos, applications, and other media. Sivive reserves the right to modify, suspend, or discontinue any part of the website at its sole discretion, with or without notice.

2.2 vivelogis Application

vivelogis is a modular, scalable, cloud-based SaaS platform licensed to businesses for managing global supply chain, logistics, finance, and other business operations. Use is limited to authorized organizations and users with valid subscriptions.

3. Account Setup and Information Accuracy

Your organization, through authorized representatives, must provide accurate and complete details for account creation, including legal credentials and valid email addresses.
You agree to maintain true, current, and complete information.
Sivive may suspend or terminate Services if inaccurate or misleading information is provided.

4. vivelogis Terms of Use

These Terms apply specifically to customer organizations and authorized users of the vivelogis platform.

4.1. Platform Access and Usage

vivelogis is a cloud-based software platform licensed for use by businesses to manage global Order-to-Delivery and Finance Operations. It is offered as a modular, scalable, integrated SaaS solution, available in standard and/or customized formats across web and mobile interfaces (“vivelogis,” “SaaS,” “Solutions,” or “Services”).

Access continues until the end of your subscription period, unless terminated earlier by you, your organization, or Sivive.
Unless otherwise agreed in writing, all content and customizations will become inaccessible upon termination.
Your organization is responsible for extracting or deleting data before access is disabled.

4.2. Account Setup and Information Accuracy

Your organization, through authorized representatives, must provide accurate and complete details for account creation, including legal credentials and valid email addresses.
You agree to maintain true, current, and complete information from time to time to ensure the proper functioning of the Services.
Sivive may suspend or terminate Services if inaccurate or misleading information is provided.
Sivive will not be liable for any resulting errors, disruptions, losses, or damages resulting from incomplete, incorrect, or irrelevant information.

5. Disclaimer of Warranties

All platforms and Services are provided “as-is,” without warranties, representations, or support obligations of any kind.
Sivive does not guarantee accuracy, completeness, or reliability of content and disclaims liability for any losses arising from use.

6. Intellectual Property (IP)

6.1. Sivive-Owned Content

All content, standard and customized software, modules, dashboards, templates, configurations, and materials developed by Sivive or made available through our platforms, whether accessed via web, mobile, email and other media or interfaces are the intellectual property of Sivive, its affiliates, or licensors, and protected under applicable laws.

6.2. SaaS Modules and Configurations

All proprietary solutions from vivelogis remain the exclusive property of Sivive. Custom configurations, enhancements, or adaptations made by Sivive for specific clients or use cases are licensed for use only within the scope of the subscribed Services and do not confer ownership or transfer of rights.

Unless explicitly agreed in writing, no part of the vivelogis platform — including custom workflows, templates, or embedded logic — may be copied, reverse-engineered, repurposed, or used to build derivative platforms or services.

6.3. User-Generated Content

Content uploaded, created, or shared by users within the vivelogis platform remains the property of the respective organization or user. However, by using the platform, you grant Sivive a limited, non-exclusive license to store, process, and display such content solely for the purpose of delivering the Services. Sivive does not claim ownership over user-generated data but may retain metadata or anonymized usage patterns for platform improvement and analytics.

6.4. Third-Party Licensed Content

Some images or media may be governed by third-party licenses. Sivive does not claim ownership over such assets and disclaims liability for misuse.

6.5. Limited License to Users

Sivive grants users a personal, non-exclusive, non-transferable, revocable license to access and use our platforms for lawful, non-commercial purposes. Use beyond this scope requires prior written consent.

6.6. Trademarks and Logos

The terms Sivive, vivelogis, www.thesivive.com, www.vivelogis.com, along with associated trademarks, logos, designs, and slogans, are the intellectual property of Sivive Enterprise Solutions Private Limited, its affiliates, or licensors. These marks are protected under applicable trademark laws and may not be used, copied, or reproduced without prior written permission from Sivive.

Other names, logos, product and service names, designs, and slogans appearing on our platforms may be the trademarks of their respective owners. Use of such third-party marks is subject to the rights and restrictions imposed by those owners.

Any use of content or platform components beyond the scope of this license is at your own initiative and risk, and you are solely responsible for ensuring compliance with applicable intellectual property laws.

7. Data Privacy

Sivive respects your privacy and handles data in accordance with applicable laws.

Sivive does not verify all content, including contributions from employees, external parties, or advertisers.

9. Termination Rights

Sivive may suspend or terminate access for reasons including:

Provision of false or misleading information
Disruption or misuse of Services
Legal or regulatory requirements
Upon termination, all rights granted under these Terms shall cease, and access may be revoked.

10. Modification to the Terms of Use

Sivive reserves the right to update or modify these Terms at any time. Continued use of the platforms after changes are posted constitutes acceptance of the revised Terms.

11. Permissible Use of Our Sites

You may use our sites and platforms solely for legitimate purposes and in accordance with these Terms. You agree not to misuse the sites in any manner that may:

Violate any applicable laws or regulations
Harm, abuse, or attempt to harm or abuse any person or entity, or expose them to inappropriate content
Request or collect personally identifiable information from others
Transmit unsolicited advertising or promotional materials, including spam, junk mail, or similar solicitations
Impersonate Sivive, its employees, any user, or any other person or entity (including by using associated email addresses or screen names)
Restrict or interfere with any other person’s use of the sites
Harm Sivive, its users, or expose them to liability

You further agree not to:

“Scrape,” extract, or disaggregate data from our sites for commercial, marketing, or data compilation purposes
Introduce viruses, trojan horses, worms, logic bombs, or other harmful or malicious code
Attempt unauthorized access to, or interfere with, any part of the sites, servers, or connected systems
Disrupt or interfere with the proper functioning of the sites

12. Your Content on Our Sites

Certain sections of our sites may require you to submit personal or non-personal information, such as when subscribing to newsletters or requesting service details. You are responsible for ensuring that any information you provide is legitimate, accurate, and does not contain objectionable, misleading, discriminatory, unlawful, or infringing content.

13. Monitoring, Enforcement, and Reporting of Objectionable Content

Sivive reserves the right to:

Refuse, remove, or delete any objectionable content posted on our sites, without explanation
Take any action against users as deemed appropriate in our sole discretion
Disclose the identity or other information of any person posting objectionable content to third parties asserting rights violations, including intellectual property or privacy rights
Refer matters to law enforcement or take legal action for any illegal or unauthorized use of our sites
Suspend or terminate access to all or part of our sites for violations of these Terms

Sivive will cooperate fully with courts, law enforcement authorities, and affected parties requesting disclosure of user information in connection with objectionable content. You waive and hold harmless Sivive, its affiliates, employees, vendors, and partners from any claims resulting from actions taken during or as a result of such investigations or legal proceedings.

Sivive does not undertake to pre-screen content before it is posted and cannot guarantee prompt removal of objectionable material. We do not monitor or assume responsibility for third-party advertisements, linked websites, or external media. Accordingly, we disclaim liability for any actions, omissions, or decisions made by users or third parties based on such content.

14. Waiver and Severability

No waiver by Sivive of any term or condition shall be deemed a continuing waiver. Failure to assert any right or provision shall not constitute a waiver. If any provision of these Terms is found to be invalid, illegal, or unenforceable, it shall be modified or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts located in Coimbatore, Tamil Nadu.

16. Entire Agreement

These Terms constitute the entire agreement between you and Sivive with respect to the sites and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

These Terms do not override any separate contractual rights or obligations entered into between Sivive and the Parties relating to matters outside the scope of these Terms.
